Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and CRUCiBLE CAPiTAL SYSTEMS LLC ("Company," "we," "us," or "our"), a Virginia limited liability company, governing your use of the VibeGuide mobile application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 13 years old (or the minimum age of digital consent in your jurisdiction) and that you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

VibeGuide is a festival safety and social application providing:

• Real-time location sharing within user-defined groups
• Compass navigation to friends and saved pins
• Bluetooth Low Energy (BLE) mesh networking for offline proximity detection
• Panic/emergency button with group notification
• Group and direct messaging
• Festival event discovery, lineup browsing, and artist tracking
• Vibe Check heatmaps and community pin mapping
• Ride share coordination features

3. Account Registration

You must create an account to use most features. You agree to:

• Provide accurate, complete registration information
• Keep your account credentials secure and not share them
• Be responsible for all activity under your account
• Notify us immediately at shawwe@alumni.vcu.edu if you suspect unauthorized access

One person may not maintain multiple accounts to evade a suspension or ban.

4. Subscription Tiers and Payments

Billing and Cancellation

• Subscriptions are billed monthly and auto-renew until cancelled
• Cancel at any time in the app or through your iOS/Android subscription settings
• Cancellation takes effect at the end of your current billing period; no partial refunds for unused time except as required by law
• Founding Lifetime purchases are final and non-refundable after 14 days
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers

5. Acceptable Use

You agree to use VibeGuide only for lawful purposes and in compliance with these Terms. You must not:

Safety Feature Abuse

• Trigger the panic button falsely or as a prank — doing so may result in immediate account termination
• Use BLE mesh networking to stalk, track, or harass individuals
• Spoof your location to deceive group members about your whereabouts

Prohibited Conduct

• Harass, threaten, or harm other users
• Transmit spam, malware, or unauthorized advertising
• Scrape, reverse-engineer, or attempt to extract our source code or databases
• Create fake accounts or impersonate any person or organization
• Use the Service to facilitate illegal activity at events (drug distribution, theft, violence, etc.)
• Circumvent technical measures or access controls
• Overload or disrupt our infrastructure (denial-of-service)
• Use the ride share coordination feature to conduct fraudulent pickups or scams

Content Standards

• Do not share content that is illegal, defamatory, obscene, or infringes third-party rights
• Do not post real-world addresses or personally identifying information of others without consent
• Festival venue maps and event data sourced through our platform are for personal use only

6. User Content

You retain ownership of content you create (messages, photos, pins, profile content). By submitting content to VibeGuide, you grant us a worldwide, royalty-free, non-exclusive license to store, display, and distribute that content solely to operate the Service.

We do not claim ownership of your content and will not use it for advertising without your separate consent. You may delete your content at any time; we will purge it per our retention schedule.

7. Location Sharing Consent

Location sharing within groups requires explicit opt-in by each member. By enabling location sharing, you understand and agree that:

• Your real-time location will be visible to approved group members while sharing is active
• Group administrators can see location data for all members who have enabled sharing
• You can disable sharing at any time from the app
• You are responsible for managing who is in your groups

If you add someone to a group without their genuine consent or use location data to stalk or harass, we will terminate your account and may report the conduct to appropriate authorities.

8. Pin Verification Rewards

The pin verification reward program (premium access for verified community pins) is offered at our discretion. We reserve the right to modify, suspend, or discontinue the program. Rewards are non-transferable and have no cash value. Abuse of the pin submission system (submitting false or duplicate pins to earn rewards) will result in account termination and forfeiture of any earned rewards.

9. Intellectual Property

The VibeGuide name, logo, app design, source code, and original content are owned by CRUCiBLE CAPiTAL SYSTEMS LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or create derivative works from our proprietary materials without written permission.

10. Third-Party Services

VibeGuide integrates third-party services including Supabase (database), Mapbox (maps), Apple and Google (authentication), and event data providers. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party service outages or changes that affect our app's functionality.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) GPS, BLUETOOTH, OR CELL NETWORK CONNECTIVITY WILL BE AVAILABLE AT ANY GIVEN EVENT; (C) THE PANIC BUTTON NOTIFICATION WILL REACH GROUP MEMBERS IN ALL CIRCUMSTANCES; OR (D) THE SERVICE IS SUITABLE AS A SOLE EMERGENCY RESPONSE MECHANISM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRUCIBLE CAPITAL SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF LIFE, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF DATA, OR LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless CRUCiBLE CAPiTAL SYSTEMS LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your violation of these Terms; (b) your user content; (c) your misuse of the panic button or location features; or (d) your violation of any law or third-party rights.

14. Account Suspension and Termination

We may suspend or terminate your account with or without notice if you:

• Violate these Terms
• Engage in fraudulent, abusive, or harmful conduct
• Repeatedly trigger false panic alerts
• Use the Service to facilitate illegal activity

You may delete your account at any time. Upon deletion, your personal data will be purged per our Privacy Policy retention schedule. Founding Lifetime purchases are not refunded upon voluntary termination.

15. Modifications to Terms

We may revise these Terms at any time. We will notify you of material changes via in-app notification or email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you disagree with material changes, your remedy is to delete your account before they take effect.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction in those courts.

Before filing any legal action, you agree to contact us at shawwe@alumni.vcu.edu and attempt in good faith to resolve the dispute informally for at least 30 days.

17. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and CRUCiBLE CAPiTAL SYSTEMS LLC regarding the Service
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force
• No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later
• Assignment: You may not assign your rights under these Terms; we may assign ours in connection with a merger or acquisition
